4. Relationship Between Website Terms, MSA, and Client Agreements

Clients purchasing services from Patient Excel are also required to enter into additional written agreements, which may include:

Clients remain responsible for all patient communications, sales processes, treatment discussions, and clinical services.

9. Consultation Scheduling Services

Where included in a client's service package, Patient Excel may communicate with prospective patients for the purpose of scheduling consultations.

These communications may include:

Patient Excel does not provide medical advice or make healthcare decisions.

The dental practice remains responsible for:

10. Client Responsibility for Compliance

Dental practices and healthcare clients are solely responsible for ensuring compliance with:

  • Consumer protection laws

Patient Excel does not provide legal compliance advice.

Clients are responsible for reviewing and approving advertisements, website content, offers, promotions, and patient communications before publication or distribution.

11. HIPAA, Protected Health Information, and Privacy Responsibilities

Patient Excel LLC is a marketing and technology company and is not a healthcare provider, healthcare clearinghouse, or health plan.

Patient Excel does not provide medical services and does not make healthcare decisions.

Clients are solely responsible for complying with all applicable healthcare privacy laws, including:

Patient Excel does not request or require PHI for general marketing services.

If Patient Excel will receive, create, maintain, or transmit PHI in a manner requiring HIPAA compliance, the parties must execute a separate Business Associate Agreement ("BAA") before such information is exchanged.

Clients are responsible for obtaining all necessary patient authorizations and consents before providing information to Patient Excel.

12. SMS/Text Messaging Terms

Where applicable, Patient Excel may use phone calls, SMS text messages, email, and automated communication tools to assist with marketing campaigns, lead follow-up, consultation scheduling, reminders, and client communications.

By submitting your contact information through this Website or requesting information from Patient Excel, you consent to receive communications related to your inquiry.

Message frequency may vary. Message and data rates may apply depending on your mobile carrier.

  • Advertising platforms control approvals, restrictions, and account decisions.

Patient Excel is not responsible for:

  • Advertising disapprovals
  • Account suspensions
  • Platform outages
  • Algorithm changes
  • Increased advertising costs
  • Changes to advertising policies
  • Third-party platform errors

Client authorizes Patient Excel to manage advertising campaigns only within the scope agreed upon in the applicable client agreement.

14. Advertising Content and Client Approvals

Client is responsible for reviewing and approving advertising materials, including:

  • Advertisements
  • Images
  • Videos
  • Website content
  • Landing pages
  • Promotions
  • Offers
  • Claims
  • Pricing information

Client represents that all information provided to Patient Excel is accurate and legally permitted for advertising purposes.

Client is solely responsible for ensuring that advertising claims comply with:

  • Federal Trade Commission regulations
  • State advertising laws
  • Dental board requirements
  • Professional licensing rules
  • Healthcare marketing regulations

Patient Excel may refuse to publish content that it believes may violate applicable laws, platform policies, or ethical standards.

15. CRM, Automation, and Software Services

Patient Excel may provide CRM setup, integrations, workflows, automation, communication systems, reporting tools, and related technology services.

Client understands that:

  • Automated systems require proper configuration and oversight;
  • Client is responsible for reviewing automated communications;
  • Software platforms may experience outages or changes;

Patient Excel does not guarantee:

  • Software uptime
  • Successful integrations
  • Automation accuracy
  • Increased conversion rates
  • Customer response rates

Client is responsible for maintaining appropriate user access controls and protecting login credentials.

16. Website Design and Development Services

Patient Excel may provide website design, development, landing pages, hosting assistance, maintenance, and related services.

Unless otherwise stated in a written agreement:

Client owns:

  • Client trademarks
  • Client logos
  • Client-provided content
  • Client-provided photographs and media

Patient Excel retains ownership of:

  • Proprietary code libraries
  • Templates
  • Internal tools
  • Development processes
  • Automation systems
  • Technical methods

Website ownership or transfer of completed deliverables occurs only after all invoices and obligations have been fully satisfied.

18. Third-Party Services

Patient Excel may rely on third-party services, including:

  • Advertising platforms
  • CRM providers
  • Hosting providers

  • Communication platforms
  • Payment processors
  • Artificial intelligence tools
  • Software integrations

Patient Excel does not control third-party services.

Patient Excel shall not be responsible for:

  • Data loss caused by third parties

Client agrees that use of third-party services may be subject to separate terms imposed by those providers.

19. Fees, Payments, and Client Obligations

Services provided by Patient Excel are subject to the fees outlined in the applicable:

  • Order Form
  • Service Agreement
  • Master Services Agreement

Client agrees to pay all fees according to the agreed payment schedule.

Unless otherwise stated:

  • Setup fees are earned when work begins;
  • Monthly fees are due according to the billing schedule;
  • Advertising spend is separate from service fees;
  • Payment obligations continue during the agreed contract term.

Failure to make payment may result in suspension of services.

20. Refunds and Cancellation

Due to the customized nature of marketing, technology, advertising, website development, CRM setup, and consultation scheduling services, payments are generally non-refundable once services have begun.

Client acknowledges that Patient Excel commits resources, labor, software expenses, and strategic planning immediately upon engagement.

Cancellation rights, contract terms, and termination procedures are governed by the applicable Master Services Agreement and Statement of Work.

21. Chargebacks and Payment Disputes

Client agrees to contact Patient Excel directly regarding billing concerns before initiating a payment dispute or chargeback.

Unauthorized chargebacks may result in:

  • Suspension of services;
  • Collection efforts;
  • Recovery of reasonable costs;
  • Legal remedies available under applicable law.

Nothing in this section limits any rights available under applicable consumer protection laws.

22. Confidentiality

Patient Excel respects the confidentiality of information provided by users and clients.

Confidential information may include:

25. Disclaimer of Warranties

28. Force Majeure

  • Utility failures
  • Government actions
  • Labor disputes

29. Governing Law

These Terms shall be governed by and interpreted under the laws of the State of North Carolina, without regard to conflict-of-law principles.
